Terms of Service

These Terms of Service form a legally binding agreement between you and Veldon Technologies governing your use of FlowDesk.

1. Plain-English Summary

FlowDesk is a software platform for engineers that combines task management, planning, standups, focus and time tracking, notes, goals, plugins, AI-assisted tools, and integrations (such as GitHub or GitLab) in one account-based web app.

You keep ownership of your content. We need certain rights to host, process, secure, and display that content so the service works. You must use FlowDesk lawfully and may not abuse the platform through scraping, automated attacks, reverse engineering, credential abuse, malware, or attempts to bypass safeguards.

These Terms include warranty disclaimers, liability limits, and indemnity obligations. If you do not agree, do not use the Services.

Important: These Terms are designed for a production SaaS platform, including future support for paid subscriptions, APIs, AI features, and third-party plugin/integration ecosystems.

2. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of FlowDesk websites, applications, APIs, integrations, plugins, and related services (collectively, the "Services") provided by Veldon Technologies ("Veldon", "FlowDesk", "we", "us", "our").

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization.

3. Eligibility and Age Requirements

  • You must be at least 16 years old to use the Services.
  • If you are under the age of legal majority in your jurisdiction, you may use the Services only with permission and supervision of a parent or legal guardian.
  • You may not use the Services if you are barred from receiving software services under applicable laws, including export control and sanctions laws.

4. User Accounts and Security Responsibilities

You are responsible for all activity under your account and for safeguarding account credentials, authentication links, API tokens, integration tokens, and device access.

  • Provide accurate registration information and keep it current.
  • Maintain the confidentiality of credentials and session access.
  • Promptly notify us of unauthorized access or security incidents.
  • Do not share account access except through authorized workspace features we provide.

We may require identity, ownership, or workspace verification before taking account recovery or high-risk administrative actions.

5. Acceptable Use Policy

You agree not to misuse the Services. Prohibited conduct includes:

  • Illegal, fraudulent, deceptive, harassing, defamatory, or rights-infringing conduct.
  • Uploading malware, spyware, malicious scripts, exploit payloads, or harmful code.
  • Attempting to bypass authentication, access controls, RLS boundaries, tenant isolation, rate limits, or security protections.
  • Scraping, crawling, or bulk extraction of data except as explicitly authorized by us.
  • Reverse engineering, decompiling, disassembling, mirroring, or creating derivative services from the Services, except where prohibited by law.
  • Interfering with platform stability, availability, or performance, including denial of service behavior, excessive automation, or abusive API traffic.
  • Using the Services to store or process highly sensitive regulated data unless we explicitly support it under a separate written agreement.
  • Using plugins, integrations, or automations to exfiltrate data or exceed granted permissions.

We may monitor for abuse, investigate suspected violations, and take enforcement actions, including suspension, termination, takedown, and legal escalation.

6. User Content and Ownership

"User Content" means data and materials you submit to the Services, including tasks, notes, snippets, standup content, prompts, goals, plugin data, and related workspace content.

You retain ownership of your User Content. You are solely responsible for the legality, accuracy, quality, and rights clearance of your User Content.

  • You represent and warrant that you have all rights needed to submit and use User Content in connection with the Services.
  • You are responsible for backups outside the platform when legally or operationally required for your own compliance obligations.

7. License You Grant to FlowDesk

To operate the Services, you grant Veldon a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, transmit, display, and perform User Content solely as necessary to:

  • Provide, secure, and maintain the Services.
  • Enable requested features, integrations, and automations.
  • Prevent abuse, troubleshoot issues, and enforce these Terms.
  • Comply with applicable law and valid legal process.

This license ends when your User Content is deleted from active systems, subject to standard backup retention cycles and legal retention obligations.

7.1 Feedback license

If you provide suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation.

8. FlowDesk Intellectual Property Rights

The Services, including software, UI, design, APIs, models, documentation, trademarks, and branding elements, are owned by Veldon or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for internal lawful purposes. No rights are granted except as expressly stated.

9. Third-Party Services and Integrations

The Services may interoperate with third-party products, APIs, plugins, and content, including source-control platforms, identity providers, payment processors, and plugin providers.

  • Your use of third-party services is governed by those providers' own terms and policies.
  • We do not control and are not responsible for third-party services, availability, content, security posture, or data handling practices.
  • You authorize us to transmit and receive relevant data with connected third-party services as required to provide requested functionality.

We may disable or remove integrations or plugins that create security, legal, operational, or abuse risks.

10. AI and Experimental Features

Some features may use AI or machine-generated outputs, including standup drafting, task suggestions, prioritization guidance, or workflow assistance.

  • AI output may be incomplete, inaccurate, or unsuitable for your specific context.
  • You are responsible for reviewing and validating outputs before relying on them.
  • AI and beta features are provided "as is" and may change, degrade, or be removed at any time.

The Services do not provide legal, tax, accounting, security, employment, or other professional advice.

11. Subscriptions, Billing, and Taxes

Some Services may be offered on a paid subscription basis now or in the future. If you purchase a paid plan, the following terms apply unless superseded by a written order form:

  • Fees are billed in advance on a recurring basis until canceled.
  • You authorize us and our payment processors to charge the selected payment method.
  • Except where required by law, fees are non-refundable and commitments are non-cancelable for the active billing period.
  • We may change pricing, packaging, or plan limits with advance notice.
  • You are responsible for all applicable taxes, duties, and governmental charges, excluding taxes on our net income.

Failure to pay may result in feature restriction, account downgrade, suspension, or termination.

12. Availability, Changes, and Outages

We continuously evolve the Services and may modify, suspend, or discontinue any feature, integration, API, route, model, or interface at any time, with or without notice.

We do not guarantee uninterrupted or error-free operation. Planned maintenance, emergency maintenance, third-party outages, and force majeure events may affect availability and performance.

13. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access immediately, with or without notice, if we reasonably determine:

  • You violated these Terms, applicable law, or usage limits.
  • Your use creates security, legal, or operational risk.
  • Payment obligations are delinquent.
  • We are required to do so by law or governmental order.

We may delete or disable access to User Content after termination, subject to applicable law and retention obligations.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELDON AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

16. Indemnification

You will defend, indemnify, and hold harmless Veldon and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your User Content.
  • Your use or misuse of the Services.
  • Your breach of these Terms or applicable law.
  • Your violation of third-party rights, including intellectual property or privacy rights.

17. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Delaware, United States, excluding conflict of laws principles.

Subject to the arbitration provisions below, you and Veldon agree to the exclusive jurisdiction of the state and federal courts located in Delaware, and each party waives objections based on venue or forum non conveniens.

18. Dispute Resolution and Arbitration

18.1 Informal resolution first

Before filing a claim, each party agrees to attempt to resolve the dispute informally by written notice and good-faith negotiation for at least 30 days.

18.2 Binding arbitration

Except for claims eligible for small claims court or claims seeking injunctive relief for intellectual property misuse, any dispute not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration may be conducted remotely.

18.3 Class action waiver

To the maximum extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, representative, or private attorney general proceeding.

19. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting updated Terms, in-product notice, email, or other reasonable means.

The updated Terms become effective on the "Last Updated" date unless otherwise stated. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

20. Miscellaneous Legal Terms

  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Veldon regarding the Services, unless superseded by a separate signed agreement.
  • Severability: If any provision is held unenforceable, the remainder remains in full force.
  • No waiver: Failure to enforce any provision is not a waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with merger, acquisition, reorganization, or sale of assets.
  • Force majeure: We are not liable for delay or failure caused by events beyond reasonable control.
  • Export compliance: You agree to comply with applicable export control and sanctions laws in your use of the Services.
